Regulatory Status
United States
Asset Haus operates in compliance with U.S. federal and state securities laws. SPVs structured through our platform typically rely on exemptions under Regulation D (Rule 506(b) or 506(c)), Regulation S for offshore offerings, or other applicable exemptions. Securities offered through these exemptions are not registered with the SEC and are subject to restrictions on resale.
UAE - DIFC
Our operations in the Dubai International Financial Centre (DIFC) are conducted in compliance with the regulatory framework administered by the Dubai Financial Services Authority (DFSA). We maintain appropriate licenses and authorizations as required for our business activities.
UAE - ADGM
Activities conducted within the Abu Dhabi Global Market (ADGM) comply with regulations administered by the Financial Services Regulatory Authority (FSRA). Appropriate registrations and authorizations are maintained as required.
Other Jurisdictions
We structure SPVs in various offshore jurisdictions including the Cayman Islands and British Virgin Islands. All structures comply with local regulatory requirements and applicable international standards including FATF recommendations.
Accredited Investor Requirements
U.S. Accredited Investors
Many offerings facilitated through our platform are limited to "accredited investors" as defined in Rule 501 of Regulation D. This includes individuals with net worth exceeding $1 million (excluding primary residence), income exceeding $200,000 ($300,000 with spouse) in each of the two most recent years, or certain professional certifications, designations, or credentials.
Professional Investors (DIFC/ADGM)
Offerings in DIFC and ADGM may be limited to "Professional Clients" as defined by DFSA and FSRA regulations. This generally includes institutional investors, high-net-worth individuals meeting specified thresholds, and entities meeting certain criteria.
Verification Requirements
We may require verification of accredited or professional investor status before allowing participation in certain offerings. This may include review of financial statements, tax returns, professional certifications, or third-party verification letters.
Suitability
Even if you meet the definition of an accredited or professional investor, private securities investments may not be suitable for you. You should carefully consider your investment objectives, risk tolerance, and liquidity needs before investing.
AML/KYC Compliance
Identity Verification
Asset Haus maintains a comprehensive Anti-Money Laundering (AML) and Know Your Customer (KYC) program. All users must complete identity verification procedures before accessing our services. This includes verification of identity documents, proof of address, and source of funds.
Sanctions Screening
We screen all users against applicable sanctions lists including OFAC (U.S.), EU sanctions lists, and UN sanctions lists. We do not provide services to persons or entities subject to sanctions or located in sanctioned jurisdictions.
Ongoing Monitoring
We conduct ongoing monitoring of user activity and transactions to detect and report suspicious activity as required by applicable laws. We may request additional information or documentation at any time.
Reporting Obligations
We comply with all applicable reporting requirements including Suspicious Activity Reports (SARs), Currency Transaction Reports (CTRs), and other regulatory filings as required by law.
Tax Considerations
Tax Advice
Asset Haus does not provide tax advice. The tax treatment of investments in SPVs and tokenized securities depends on your individual circumstances and the jurisdictions involved. You should consult with a qualified tax advisor before making investment decisions.
FATCA and CRS
SPVs structured through our platform may be subject to Foreign Account Tax Compliance Act (FATCA) reporting requirements for U.S. persons and Common Reporting Standard (CRS) requirements for automatic exchange of financial account information between participating jurisdictions.
Withholding Taxes
Income from investments may be subject to withholding taxes in various jurisdictions. The applicable rates and availability of treaty benefits depend on your tax residence and the structure of the investment.
Tax Documentation
Investors may be required to provide tax documentation including W-9, W-8BEN, or equivalent forms. Failure to provide required documentation may result in additional withholding or inability to participate in offerings.
Conflicts of Interest
Service Provider Relationships
Asset Haus has commercial relationships with various service providers including legal counsel, fund administrators, and technology partners. These relationships may create conflicts of interest. We manage conflicts through disclosure, policies and procedures, and independent oversight where appropriate.
Fee Structure
Our fee structure may create incentives that conflict with your interests. For example, transaction-based fees may incentivize recommending more transactions than necessary. We disclose all fees and encourage you to consider the total cost of services.
Affiliated Parties
Asset Haus or its affiliates may have financial interests in offerings facilitated through our platform or in companies that provide services to SPVs. Such interests will be disclosed in applicable offering documents.
Platform Limitations
Technology Limitations
Our platform relies on technology systems that may experience interruptions, delays, or failures. We do not guarantee uninterrupted access to our services or the accuracy of all data displayed on our platform.
Blockchain Risks
Tokenized securities are recorded on blockchain networks. These networks may experience congestion, forks, or other events that could affect the recording or transfer of securities. Smart contracts may contain bugs or vulnerabilities.
No Custody
Asset Haus does not provide custodial services for securities or digital assets. You are responsible for maintaining secure custody of your investment records and any cryptographic keys associated with tokenized securities.
Third-Party Dependence
Our services depend on third parties including cloud hosting providers, identity verification services, and blockchain networks. Failures or changes in these third-party services could affect our ability to provide services.
